Terms of Service

1. Agreement to these terms

These Terms of Service (the “Terms”) govern your access to and use of Persim (the “Service”), operated by Persim (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Beta service

The Service is currently offered as a beta. It is provided for evaluation purposes, may contain defects, and may change or be discontinued at any time without notice. Features available today may be modified or removed. You should not rely on the Service as the sole system of record for any critical data.

3. Accounts

You must provide accurate information when creating an account and are responsible for keeping your credentials secure. You are responsible for all activity that occurs under your account. Notify us promptly if you believe your account has been compromised.

Accounts may belong to one or more organizations. If you access the Service as a member of an organization, an administrator of that organization may be able to view, manage, or remove content associated with your membership, and may control your access.

4. Acceptable use

You agree not to:

• Use the Service in violation of any applicable law or regulation.
• Submit content that infringes the intellectual property or privacy rights of others.
• Attempt to gain unauthorized access to the Service, other accounts, or the data of other organizations.
• Probe, scan, or test the vulnerability of the Service, or circumvent any security or authentication measure, without our prior written consent.
• Use the Service to generate content that is unlawful, harassing, deceptive, or intended to cause harm.
• Reverse engineer the Service, or resell or redistribute access to it, except as expressly permitted.

5. Your content

You retain ownership of the prompts, conversations, test cases, and other material you submit to the Service (“Your Content”). You grant us a limited, non-exclusive license to host, process, transmit, and display Your Content solely for the purpose of operating and improving the Service, including transmitting it to the third-party model providers described in our Privacy Policy.

You represent that you have the necessary rights to submit Your Content and that doing so does not violate these Terms or any applicable law.

6. AI-generated output

The Service uses third-party large language models to generate text and audio output. Output is generated probabilistically and may be inaccurate, incomplete, or misleading. You are responsible for reviewing and validating any output before relying on it. We make no representation that output is accurate, fit for any particular purpose, or free of third-party rights.

7. Third-party services

The Service depends on third-party providers, including OpenAI for model inference and Supabase for authentication and data storage. Your use of the Service is also subject to the terms and policies of those providers. We are not responsible for the acts or omissions of third-party providers.

8. Fees

The beta is currently offered at no charge. We reserve the right to introduce fees for the Service in the future. If we do, we will give you notice and an opportunity to decline before any charge applies to your account.

9. Termination

You may stop using the Service and request deletion of your account at any time. We may suspend or terminate your access at any time if we believe you have violated these Terms, or if we discontinue the Service. On termination, the rights granted to you under these Terms end immediately. Sections 5, 6, 10, 11, and 12 survive termination.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to indemnify and hold us harmless from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.

13. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, notify you through the Service. Your continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms will be litigated exclusively in the state or federal courts located in Los Angeles, California, and you consent to the personal jurisdiction of those courts.
